Terms of Service

1. Services and Scope

NightVow, operated by Lingao Zhiye Technology Co., Ltd., provides professional computer systems design, computer integrated systems design, and related technology consulting services (the Services). These Services are delivered under individual project agreements that supplement these Terms where applicable.

We reserve the right to modify, suspend, or discontinue any aspect of our Services with reasonable notice. Service descriptions on our website are for informational purposes only and do not constitute a contractual offer unless expressly stated in a signed agreement.

2. User Obligations

You agree to use our website and Services in compliance with all applicable laws. You shall not access our systems through unauthorized means, upload harmful content, interfere with network operations, misrepresent your identity, or reverse engineer any provided software.

You are responsible for maintaining the confidentiality of any account credentials and for all activities under your account.

3. Intellectual Property

All content, materials, designs, code, and deliverables created by NightVow and Lingao Zhiye Technology Co., Ltd. are the exclusive intellectual property of Lingao Zhiye Technology Co., Ltd., protected under applicable copyright, trademark, and patent laws.

Upon full payment for Services, clients receive a limited, non-exclusive, non-transferable license to use deliverables created specifically for them. This does not extend to proprietary frameworks or methodologies.

4. Client Responsibilities

Clients agree to provide timely, accurate information necessary for project execution. Both parties must maintain confidentiality of proprietary information disclosed during the engagement, with this obligation surviving termination for five years.

5. Payment Terms

Fees are outlined in individual proposals. Payment terms including deposits, milestones, and final balances are specified in each agreement. Late payments may incur interest at 1.5% per month. All fees exclude applicable taxes.

6. Limitation of Liability

To the maximum extent permitted by law, Lingao Zhiye Technology Co., Ltd. shall not be liable for any indirect, incidental, special, or consequential damages. Our total liability shall not exceed the total amount paid for the specific Service giving rise to the claim.

7. Warranties

Services are provided on an as-is basis. We disclaim all implied warranties. We warrant Services will be performed professionally and will correct any deficiency reported within thirty days at no additional cost.

8. Indemnification

You agree to indemnify Lingao Zhiye Technology Co., Ltd. from claims arising out of your use or misuse of our Services, violation of these Terms, or infringement of third-party rights.

9. Termination

Either party may terminate with thirty days written notice. The client shall pay for all Services rendered up to termination. Confidentiality, IP, liability, and indemnification provisions survive termination.

10. Governing Law

These Terms shall be governed by the laws of the People's Republic of China. Disputes shall first be resolved through negotiation, then submitted to binding arbitration in Haikou City, Hainan Province, under CIETAC rules.

11. Changes to Terms

We may update these Terms at any time. Changes become effective immediately upon posting. Material changes will be communicated via email or website notice.
